By using any product or service offered by Northvane Technologies (“we,” “our,” or “us”), including anything hosted on readinote.com, you agree to these Terms of Service (“Terms”). If you break these Terms, we may disable or terminate your account at our discretion.

We may revise these Terms from time to time. When we make a significant change, we will update the date above and notify users who subscribe to policy updates.

Definitions

“Services” means our websites (including readinote.com) and any Northvane Technologies LLC products or applications we build and maintain, whether accessed via browser, desktop, mobile, or other formats.

“You” or “your” refers to the individual or organization that holds an account with one or more of our Services. See our Account Ownership Policy for details.

Account Terms

  • You are responsible for keeping your account secure, including your password. We recommend (and in some cases may require) two-factor authentication.
  • You are responsible for all content and activity under your account, including actions by users you add.
  • Accounts must be created by humans. Automated signups (bots, scripts) are not allowed.

Payment, Refunds, and Plan Changes

  • Free versions truly are free—we do not ask for a credit card, and we do not sell your data.
  • For paid Services, you must pay on time to maintain access. Unpaid accounts are frozen until payment; extended non-payment may lead to cancellation per our Cancellation Policy.
  • Upgrading from free to paid charges your card immediately and starts a new billing cycle that day. Other plan changes take effect on the next cycle.
  • Fees exclude taxes and duties. Where required, we collect and remit taxes; otherwise you are responsible for them. See our Tax Policy.
  • Refunds are handled under our Refund Policy.

Cancellation and Termination

  • You must cancel properly as described in our Cancellation Policy
    Email or phone requests alone do not cancel an account—contact Support if you need help.
  • Upon cancellation, your content becomes inaccessible immediately. Within ~30 days it is removed from active systems and logs; within ~60 days it is removed from backups. Deleted data cannot be recovered. Export data before canceling if needed.
  • Canceling mid-cycle stops future charges but does not automatically prorate the final period. See our Refund Policy.

  • We may suspend or terminate accounts (and future use) for any reason. Suspension blocks access; termination also deletes the account and its content. We may refuse service to anyone at any time.
  • Abuse of our staff (verbal, physical, written, or threats) results in immediate termination.

Modifications to the Service and Prices

  • We aim to support our Services long term, but we may modify or discontinue features or products (including closing new signups) with or without notice.
  • Pricing may change. If we change pricing for existing customers, we will give at least 30 days’ notice via your account email and/or in-app/site notice.

Uptime, Security, and Privacy

  • Services are provided “as is” and “as available.” We do not offer SLAs, but we take uptime seriously.
  • We may temporarily disable accounts whose usage greatly exceeds typical levels to protect overall performance; we will try to contact the account owner first unless urgent.
  • We protect data with backups, redundancies, and encryption in transit from the public internet. Some internal network paths may be unencrypted. See our Security Overview and Security Response pages for details.
  • We process your data only as described in our Privacy Policy
    Our staff may access minimal data only to: (a) assist with your support request (with your consent); (b) fix stalled automated processes; (c) secure our systems and investigate abuse; or (d) comply with applicable law. As a U.S. company, we comply with lawful U.S. orders; non-U.S. requests generally require a valid U.S. process.
  • We use third-party vendors and hosting partners for infrastructure. Subprocessors that handle personal data for our services are listed in our subprocessors page.
  • Under the CCPA, we act as a “service provider,” processing your data only for the purposes described in these Terms and our Privacy Policy
    We do not sell or use your data for other commercial purposes without explicit permission. You agree to meet your own CCPA obligations and not use our Services in ways that violate the CCPA.
  • These Terms incorporate our Data Processing Addendum (DPA) when GDPR/UK GDPR applies to your use of our Services to process Customer Data. The current DPA supersedes prior DPAs.

Copyright and Content Ownership

  • Content posted must comply with U.S. copyright law. See our guidance on submitting copyright claims.
  • You grant us a limited license to use your content to operate the Services; you retain ownership of your materials.
  • We do not pre-screen content, but we may refuse or remove content at our discretion.
  • Northvane Technologies (or its licensors) owns the Services and related IP. You gain no ownership rights by using the Services. Do not copy or reuse our HTML/CSS/JS/designs or logos without written permission. We may revoke permissions if violated.
  • You will not reproduce, sell, or exploit the Services without our express written consent.

Services Adaptations and API Terms

Some Services offer APIs. Any API use (including via third-party tools) is governed by these Terms plus:

  • We are not liable for damages arising from API use or third-party integrations.
  • Third parties may not use the API for remote surveillance of users (beyond time tracking). We decide, in our discretion, if an integration violates this and may require its removal.
  • Excessive or abusive API calls may lead to temporary or permanent suspension of API access; we will attempt to warn the account owner unless urgent to prevent downtime.
  • We are not responsible for third-party integrations that connect to our Services.

Liability

Northvane Technologies LLC is not liable to you or any third party for damages of any kind arising from use of the Services, inability to access data, unauthorized access, actions of third parties using the Services, or any other consequences related to these Terms or the Services.
